Terms of Service for Smart Shopping AI

Welcome to Smart Shopping AI. Please read these Terms of Service ("Terms") carefully before using our mobile application and related price-comparison services (collectively, the "App").

By downloading, installing, accessing, or using Smart Shopping AI, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the App.

1. Description of Service

Smart Shopping AI is an automated product search and price-comparison platform. The App allows registered and guest users to search for products across third-party e-commerce retailers, view historical pricing data, set price drop alerts, and navigate to third-party merchant sites to complete purchases.

Smart Shopping AI is not a retailer, seller, marketplace, manufacturer, or shipping provider. We do not sell products directly, manage inventory, handle payments, process order cancellations, or provide product delivery.

2. User Accounts and Registration

To access features such as wishlists, custom price drop notifications, and personalized deal tracking, you may be required to register an account using our authentication provider, Clerk.

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
  • You must immediately notify us at [email protected] if you suspect any unauthorized access to or use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive, automated, or fraudulent activities.

3. Affiliate Commission Disclosure

Smart Shopping AI participates in affiliate marketing programs. The App contains affiliate links to third-party merchant platforms (such as Amazon, Flipkart, Myntra, Nykaa, and various direct-to-consumer online stores).

When you click an outbound link inside the App and make a purchase on a merchant site, Smart Shopping AI may earn an affiliate commission from the retailer or affiliate network. This commission comes at no extra cost to you. Our affiliate relationships do not alter your purchase price on the merchant's platform.

4. Prices, Product Information, and Availability Disclaimer

  • Price Fluctuations: Prices, promotions, stock status, delivery fees, and merchant discount codes change constantly on third-party merchant sites. While Smart Shopping AI endeavors to provide accurate, real-time pricing data and history, pricing or availability shown in the App may occasionally differ from the merchant's live checkout page.
  • Binding Checkout Price: The final price, availability, warranty, return policy, and purchase terms displayed on the merchant's official site at the time of your checkout are binding and govern your transaction.
  • No Product Guarantee: We make no representations or warranties regarding the quality, safety, legality, authenticity, or fitness for a particular purpose of any product displayed or indexed within the App.

5. Trademark, Brand, and Intellectual Property Disclaimer

All third-party brand names, company names, product titles, logos, designs, and registered trademarks referenced, displayed, or indexed within Smart Shopping AI belong to their respective copyright and trademark owners.

  • The display of third-party trademarks or logos in the App is solely for descriptive, search, product identification, and price-comparison purposes.
  • Inclusion of third-party products, brands, or merchant logos does not constitute an endorsement, approval, affiliation, or sponsorship by the brand owners of Smart Shopping AI, nor does it imply that Smart Shopping AI is authorized by or associated with such brand owners, unless explicitly stated.
  • Smart Shopping AI retains all rights, titles, and interests in its original technology, app code, logo, design elements, algorithms, and interface branding.

6. Prohibited Conduct

You agree not to engage in any of the following activities:

  • Using scrapers, automated scripts, bots, spiders, or data-mining tools to extract data or content from the App without our express prior written permission.
  • Attempting to interfere with, disrupt, reverse engineer, decompile, or compromise the integrity or security of the App or our backend API servers.
  • Misusing price alert systems or generating fake user accounts.
  • Using the App for any illegal, unauthorized, or commercially abusive purpose that violates applicable local or international laws.

7. Third-Party Websites and Merchant Transactions

Any purchases, interactions, disputes, returns, refunds, or communications you engage in with a third-party merchant discovered through Smart Shopping AI are strictly between you and that merchant. Smart Shopping AI is not a party to any contract or transaction executed between you and a merchant, and we bear no responsibility for merchant fulfillment, shipping delays, defective goods, or billing errors.

8. Limitation of Liability and Disclaimers

A. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ALL CONTENT, PRICING DATA, AND SEARCH RESULTS PROVIDED THEREIN ARE DELIVERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SMART SHOPPING AI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, ERROR-FREE, OR FREE FROM VIRUSES OR MALICIOUS COMPONENTS.

B. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMART SHOPPING AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR FINANCIAL LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE APP, EVEN IF INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP EXCEED THE AMOUNT YOU PAID US, IF ANY, TO USE THE APP, OR INR 1,000 (INDIAN RUPEES ONE THOUSAND), WHICHEVER IS LESS.

9. Governing Law and Dispute Resolution

A. Governing Law

These Terms, their subject matter, and their formation shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

B. Jurisdiction

Any legal suit, action, dispute, or proceeding arising out of or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.

10. Modifications to Terms

We reserve the right to modify or update these Terms at any time. When updates occur, we will revise the "Last Updated" date at the top of these Terms. For material changes, we may notify you through in-app notices or via email. Your continued use of the App following the posting of revised Terms constitutes your acceptance of the changes.
